Irrigation Membership Terms & Conditions

These terms govern the Dewpoint LLC irrigation membership. They explain what each membership includes, how billing works, what the guarantees cover, and how a membership can be ended.

Membership level is based on irrigation zone count and is confirmed at the first visit. Price is confirmed before billing is finalized. Nothing changes without member approval.

Agreement and definitions

This agreement is between Dewpoint LLC and the person or entity enrolling in the membership. Enrolling in a membership, or accepting a scheduled visit under a membership, means these terms are accepted.

  • Dewpoint means Dewpoint LLC, an Oregon limited liability company serving the Portland metro area and Willamette Valley.
  • Member means the account holder responsible for payment.
  • Property means the single address covered by the membership. One membership covers one property.
  • Membership year means the twelve months beginning on the enrollment date.
  • Zone means one independently controlled irrigation circuit.
  • System means the irrigation equipment on the property, including controller, valves, backflow assembly, lateral lines, heads, emitters, and related accessible components.

Membership levels

Levels classify a system by size. They are not upgrade packages. Home, Plus, and Estate include the same services. The only differences are the on-site time allotment and the annual parts allowance.

The level selected at signup is provisional. Dewpoint confirms the zone count at the first visit. If the system belongs in a different level, Dewpoint confirms the correct price before billing is finalized. No price change takes effect without member approval.

What every membership includes

The following are included at every level:

  • Three scheduled service visits per membership year
  • A two-technician crew at spring startup
  • Specialized controller programming at spring startup
  • Annual backflow testing arranged and covered by Dewpoint
  • Priority scheduling
  • Included minor parts and repairs up to the level's parts allowance
  • The Spring Startup Guarantee described in section 12
  • The Freeze Damage Guarantee described in section 13

Scheduled visits

Spring Startup & System Tune-Up

A two-technician crew pressurizes the system, runs and inspects each zone, adjusts or repairs heads and emitters within the parts allowance, and programs the controller for the season.

Mid-Season Tune-Up

A one-technician visit checks the system during the part of the season when coverage problems and pressure issues are easier to see under real watering demand. Dewpoint schedules this visit when it is most useful rather than on a fixed calendar date.

Fall Winterization

A one-technician visit shuts the system down for winter. Dewpoint insulates the backflow preventer and shallow valves, shuts off the water supply where a functional shutoff is present, and drains accessible components. Winterization is a shorter focused shutdown and is not published as an hour allotment.

On-site time and additional labor

Published on-site allotments apply to spring startup and mid-season visits. Drive time is included in the membership price and is not deducted from the on-site allotment.

If requested work exceeds the visit allotment, the technician will tell the member before continuing. Approved additional labor is billed at the member rate of $100 per hour per technician, in fifteen-minute increments.

Unused allotment time does not carry over between visits or membership years.

Parts, materials, and repairs

Each membership includes minor parts and repairs up to the level's annual parts allowance: $50 for Home, $125 for Plus, and $200 for Estate. The allowance covers common items such as spray heads, nozzles, risers, seals, and minor fittings.

The allowance applies to the membership year and does not carry forward. Materials beyond the allowance are billed at cost and are not discounted. Repairs requiring materials beyond the allowance are quoted and approved before work is performed.

The member discount applies to labor only. It does not apply to materials, new irrigation installations, or adding new zones to an existing system.

For reference, standard non-member rates are a $149 service call covering the first thirty minutes on site, then $125 per hour per technician. Materials are billed as used.

Add-on visits

Members may request additional tune-up visits during the season. An add-on visit is staffed by one technician and carries the same on-site allotment as the member's scheduled spring and mid-season visits.

Parts used during an add-on visit draw against the member's remaining annual parts allowance. Labor beyond the add-on visit allotment is billed at the member rate.

Smart controllers

Dewpoint recommends a smart controller on every system. For members, installation is a flat labor fee of $150, plus the controller at cost.

Remote schedule adjustments are included at no additional charge where Dewpoint installed the controller. Remote adjustment requires the controller to stay connected to the property's network and Dewpoint to retain access. Dewpoint is not responsible for schedule changes that cannot be made because a controller is offline.

Backflow testing

Oregon requires annual testing of backflow prevention assemblies by a licensed tester. Dewpoint is not a certified backflow tester and contracts this work to a licensed third party.

The cost of one annual test per membership year is included in the membership. Dewpoint arranges the appointment around the spring startup visit and submits the result to the water purveyor where required.

Repairs or replacement of a backflow assembly that fails its test are separate work, quoted and approved before being performed. A failed test is not covered by the parts allowance.

Annual prepay receives a 10% discount from the annual price. Monthly pricing is its own price point and is not calculated from the annual price divided by twelve.

Each membership is a twelve-month term and renews automatically for successive twelve-month terms. Dewpoint provides thirty days' written notice before any price change takes effect at renewal. Additional labor, materials beyond the allowance, add-on visits, and approved repairs are invoiced separately after the work is performed.

Payments more than fifteen days past due may pause scheduling until the balance is settled. Scheduled visits missed during a payment pause are not added back to the membership year.

Spring Startup Guarantee

System operational by June 15 or the next scheduled visit is free.

Covers
If Dewpoint has not brought the system into operating condition by June 15 of the membership year, the member's next scheduled visit is provided at no charge.

  • Access to the property and system on scheduled dates
  • Timely member approvals for required repairs
Late enrollment
Memberships enrolled after May 15 receive the first startup at the earliest available appointment. No dated guarantee applies to that first partial season. The June 15 guarantee applies from the first complete membership year onward.

Freeze Damage Guarantee

Covered freeze damage is repaired by Dewpoint, up to $1,000 per membership year.

Freeze damage to lateral lines, zone valves, and the backflow assembly, up to a total of $1,000 per membership year.
Requires
  • Dewpoint performed that season's winterization
  • The property was accessible and the system was drainable at winterization
  • Recommended pre-winterization repairs were completed
Excludes
  • Components the member declined to repair, or components already worn or failing
  • Systems documented as non-drainable at the time of winterization
  • Damage caused by anyone other than Dewpoint, including other contractors
  • Extraordinary weather beyond normal regional winter conditions
  • Landscape, hardscape, structural, or other property damage
Remedy
The remedy is repair performed by Dewpoint only. The guarantee is not redeemable for cash, account credit, or replacement system, and it does not extend to consequential losses such as water charges or plant loss.
Claims
Report suspected freeze damage within thirty days of discovery and before another contractor performs work on the affected components.

Referral credit

Members receive a $50 account credit for each successful referral. The credit is applied after the referred member's first completed visit.

Credits accrue and roll forward to future membership charges. A credit balance cannot reduce an account below $0, is not redeemable for cash, and does not transfer if a membership ends.

Scheduling and property access

Dewpoint schedules visits at the point in the season when each visit is most effective and contacts the member in advance to confirm the date. Members are asked to provide gate codes, key access, and notes about pets or obstructions before the visit.

If the technician cannot access the property, system, or controller for a confirmed appointment, the visit may count as delivered for the membership year and may be rescheduled subject to Dewpoint's availability.

Dewpoint asks members to provide at least twenty-four hours' notice to reschedule a confirmed appointment.

What membership does not cover

The membership covers seasonal service for an existing, functioning irrigation system. The following are quoted separately:

  • New irrigation installations and new zones
  • Mainline replacement, valve manifold rebuilds, pump work, well work, electrical troubleshooting outside the controller, and excavation
  • Damage caused by other contractors, landscaping crews, rodents, vehicles, or ground movement
  • Water charges, plant loss, or other consequential costs
  • Landscaping, hardscape, lawn care, pruning, and planting services

Dewpoint may determine that a system is beyond seasonal service and requires replacement or substantial repair. In that case, Dewpoint provides a written assessment and quote so the member can decide how to proceed.

Cancellation and refunds

Non-renewal. A membership may be ended at the close of the term at no cost by giving at least thirty days' notice before the renewal date.

Early cancellation. A membership canceled mid-term is subject to the fee below. The fee reflects the seasonal structure of the service because spring startup carries the largest share of the year's cost.

Annual prepay members who cancel early receive a prorated refund for the unused portion of the term, minus the applicable fee. Prepaid amounts are not forfeited in full.

Dewpoint may end a membership with thirty days' notice and will refund the unused portion of a prepaid term without fee. Dewpoint may end a membership immediately with a prorated refund if the property is unsafe to work on or access is repeatedly unavailable.

Limitation of liability

Dewpoint carries general liability insurance and performs work to professional standards. Dewpoint's total liability arising from the membership is limited to the amount paid by the member for the membership year in which the claim arose, except where Oregon law does not permit that limit.

Dewpoint is not liable for indirect or consequential losses, including water charges, plant or lawn loss, or loss of use of the property. Nothing in these terms limits liability for personal injury or property damage caused by Dewpoint's negligence.

Dewpoint is not responsible for the condition of a system before the first visit, defects in equipment installed by others, or damage arising from undisclosed conditions such as unmarked private utility lines.

Events outside our control

Dewpoint is not responsible for delays or missed visits caused by events beyond reasonable control, including severe weather, freeze events outside normal regional conditions, wildfire smoke conditions, utility interruption, supply shortages, or public health restrictions. Where a scheduled visit is delayed by such an event, Dewpoint reschedules it within the same season where conditions allow.

Communications

By enrolling, members agree to receive service-related communications by email, phone, and text message, including appointment confirmations, scheduling changes, invoices, and service notes. Members may opt out of marketing messages at any time while continuing to receive service communications.

Changes to these terms

Dewpoint may update these terms. Material changes take effect at the member's next renewal with at least thirty days' written notice. Continuing the membership after that date constitutes acceptance. The effective date and version at the top of the document indicate the current edition.

Governing law

These terms are governed by the laws of the State of Oregon. Any dispute is brought in state or federal courts located in Clackamas County, Oregon. Both parties agree to attempt to resolve the dispute directly before beginning proceedings.

If any provision of these terms is found unenforceable, the remaining provisions stay in effect.
